1. Introduction
These Affiliate Terms and Conditions ("Affiliate Terms") govern your participation in the 3local Ltd Affiliate Program ("Program"). By applying to or participating in the Program, you agree to be bound by these Affiliate Terms.
The Program is operated by 3local Ltd, a company registered in England and Wales (Company number: 16598862), with its registered office at 232 Stamford Street Central, Ashton-Under-Lyne, United Kingdom, OL6 7NQ ("3local," "we," "our," or "us").
If you do not agree to these Affiliate Terms, you must not participate in the Program.
2. Eligibility and Enrollment
To participate in the Program, you must:
- Be at least 18 years of age or the legal age in your jurisdiction;
- Provide accurate and complete registration information;
- Not be located in, or a resident of, any sanctioned country or region;
- Comply with all applicable laws and regulations.
We reserve the right to approve or reject any affiliate application at our sole discretion.
3. Affiliate Relationship
You are an independent contractor and not an employee, partner, or agent of 3local Ltd.
You have no authority to bind or represent 3local in any way. You are solely responsible for your own business operations, taxes, and legal obligations.
4. Commissions and Payouts
4.1. Commission Structure
Commissions are earned based on valid referrals tracked through our affiliate system.
We reserve the right to modify commission rates at any time.
4.2. Payout Terms
- Payouts are processed on a NET-30 basis from the end of the relevant period;
- We reserve the right to extend payout periods up to NET-60 where necessary for verification, fraud checks, or operational reasons;
- A minimum payout threshold may apply before funds are released.
4.3. Payment Processing
All affiliate payouts are processed via our third-party partner platform. We may issue a consolidated invoice and process payments through this platform.
You are responsible for ensuring your payout details are accurate and up to date.
5. Tax Responsibilities
You are solely responsible for all taxes, duties, and reporting obligations arising from your affiliate earnings, including but not limited to income tax and VAT.
We may collect tax information from you (including tax identification numbers and relevant forms) as required for compliance purposes. Failure to provide required tax information may result in withheld or delayed payments.
6. Prohibited Activities
Affiliates must not:
- Engage in illegal, fraudulent, or deceptive activities;
- Send spam, unsolicited communications, or misleading promotions;
- Misrepresent 3local, its services, or pricing;
- Use trademarks, branding, or intellectual property without permission;
- Promote through prohibited channels or methods, including but not limited to unauthorized paid ads or impersonation;
- Attempt to manipulate tracking, cookies, or attribution systems.
7. Fraud, Refunds, and Chargebacks
We reserve the right to:
- Reject or reverse commissions for fraudulent, suspicious, or invalid transactions;
- Withhold payouts where fraud or abuse is suspected;
- Deduct commissions associated with refunded or charged-back transactions.
8. Suspension and Termination
We may suspend or terminate your participation in the Program at any time, with or without notice, if you:
- Violate these Affiliate Terms;
- Engage in prohibited or unethical conduct;
- Pose a legal, financial, or reputational risk to 3local.
Upon termination, any unpaid commissions may be forfeited at our discretion.
9. Intellectual Property
All rights, title, and interest in 3local’s trademarks, branding, and materials remain our exclusive property.
You are granted a limited, non-exclusive, revocable license to use approved marketing materials solely for the purpose of promoting our services.
10. Limitation of Liability
3local Ltd shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Affiliate Program.
Our total liability shall not exceed the total commissions paid to you in the twelve (12) months preceding any claim.
11. Indemnification
You agree to indemnify and hold harmless 3local Ltd from any claims, damages, liabilities, costs, or expenses arising from:
- Your participation in the Program;
- Your breach of these Affiliate Terms;
- Your violation of any applicable laws or third-party rights.
12. Governing Law and Dispute Resolution
These Affiliate Terms are governed by the laws of England and Wales.
Any disputes shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to arbitration under LCIA rules.
13. Changes to Terms
We reserve the right to update or modify these Affiliate Terms at any time. Continued participation in the Program constitutes acceptance of any updated terms.
